1. Definitions and Interpretation
“Company” means Press-Cal Solutions Ltd.
“Buyer” means any person, firm, or company purchasing goods or services from the Company.
“Goods” means any items supplied, repaired, serviced, or replaced by the Company.
“Services” includes repair, servicing, inspection, and associated work.
“Contract” means the agreement between the Company and the Buyer governed by these Terms.
2. Application of Terms
These Terms and Conditions apply to all Contracts and shall prevail over any terms proposed by the Buyer unless expressly agreed in writing by a Director of the Company.
3. Quotations and Estimates
All quotations and estimates are valid for the period stated.
Repair estimates may be subject to inspection fees and shipping costs.
If the Buyer chooses not to proceed with a repair, inspection fees (minimum £35) and return shipping costs remain payable.
Equipment may be returned unassembled where required for safety reasons.
4. Price and Payment
Prices are exclusive of VAT, which will be charged at the applicable rate.
Payment is required in full prior to dispatch unless a credit account is agreed in writing.
Card payments may incur a surcharge of up to 2.5%.
Account holders are subject to 30 days end-of-month payment terms.
Late payments may accrue interest at 5% above the Bank of England base rate.
The Company reserves the right to charge reasonable storage fees for unpaid equipment after 15 days.
Unpaid equipment may be treated as abandoned after 30 days, subject to applicable law.
5. Delivery and Acceptance
Delivery dates are estimates only.
The Company is not liable for delays caused by factors beyond its reasonable control.
Goods are deemed accepted 24 hours after delivery.
Invoice details must be quoted for any returns or queries.
6. Risk and Title
Risk passes to the Buyer upon delivery.
Title to Goods remains with the Company until payment is received in full.
The Company reserves the right to recover Goods where payment has not been made.
7. Warranty and Guarantee
Parts replaced during repairs are guaranteed for three months (single shift use) against defects in workmanship or materials.
The guarantee does not cover misuse, wear and tear, or consequential losses.
For third-party supplied goods, any manufacturer warranties will be passed on where possible.
8. Limitation of Liability
Nothing in these Terms limits liability for death or personal injury caused by negligence.
The Company’s liability is limited to repair or replacement of defective Goods.
The Company is not liable for indirect or consequential loss, loss of profit, or business interruption.
The Buyer is responsible for ensuring Goods are used safely and in compliance with health and safety legislation.
9. Cancellation
The Company may cancel a Contract prior to delivery without liability.
The Buyer may not cancel once work has commenced unless agreed in writing.
10. Minimum Charges
A minimum charge of £35 applies to inspections and estimates unless agreed otherwise.
11. Set-Off
The Buyer may not withhold payment by reason of any set-off or counterclaim.
12. Assignment and Subcontracting
The Company may subcontract or assign its obligations under this Contract.
13. Data Protection
The Company processes personal data in accordance with UK GDPR.
Customer data is used solely for business purposes and will not be shared unlawfully.

14. Governing Law
These Terms and Conditions are governed by the laws of England and Wales.
